## Purpose

Gegenstand und Zweck der Gesellschaft ist die Koordination der Aktivitäten der amerikanischen AMGEN-Unternehmensgruppe (mit Ausnahme der Firmengruppen, die in die Kommissionäraktivitäten eingebunden sind oder werden). Die Koordination der Aktivitäten erfolgt in ausgewählten Ländern, in denen Amgen Handels-, Forschungs- und oder Entwicklungsgesellschaften gegründet hat, inklusive Indien, Russland und Peru sowie Unterstützung dieser Firmen in operativer Hinsicht und andere Aktivitäten, die den Erfolg der Gesellschaft fördern. Die Gesellschaft kann im In- und Ausland Zweigniederlassungen und Tochterunternehmen errichten, sich an anderen Unternehmen beteiligen, Vertretungen übernehmen sowie jegliche Geschäftstätigkeit ausüben und Verträge jeglicher Art abschliessen, die dem Gesellschaftszweck förderlich sein können oder die direkt oder indirekt mit dem Gesellschaftszweck in Zusammenhang stehen. Die Gesellschaft kann Grundstücke im In- und Ausland erwerben, halten, verwalten, belasten und verkaufen. Ausgenommen sind Geschäfte, die durch das Bundesgesetz über den Erwerb von Grundstücken durch Personen im Ausland (BewG) untersagt sind. Die Gesellschaft ist Teil einer Gruppe und kann bei der Verfolgung ihres Gesellschaftszwecks die Interessen der Gruppe berücksichtigen. Insbesondere kann die Gesellschaft ihren direkten und indirekten Tochtergesellschaften sowie Dritten, einschliesslich ihren direkten und indirekten Aktionären sowie deren direkten und indirekten Tochtergesellschaften, Darlehen und andere direkte oder indirekte Finanzierungen gewähren, einschliesslich im Rahmen von Cash-Pooling Vereinbarungen (inkl. Zero Balancing), und für die Verbindlichkeiten dieser Parteien Sicherheiten aller Art stellen, einschliesslich mittels Pfandrechten an oder fiduziarischen Übereignungen von Aktiven der Gesellschaft oder Garantien jeglicher Art.
